1. About this offer
1.1 The 30-Day Clean Books Turnaround (the “Turnaround”) is offered by Accountants Direct Pty Ltd (ABN 16 155 811 448) (“Accountants Direct”, “we”, “us”, “our”) to new subscribers to the Tax + Books™ plan (“you”, “your”) as part of joining, on the terms set out below.
1.2 The Turnaround forms part of, and must be read together with, our Business Subscription Terms published at accountantsdirect.com.au/business-subscription-terms/ (the “Subscription Terms”), your Services Proposal and your engagement letter. If there is any inconsistency, the Subscription Terms and your engagement letter prevail to the extent of the inconsistency.
2. Definitions
2.1 “Business Day” means a day other than a Saturday, Sunday or public holiday in Queensland, Australia.
2.2 “Catch-Up Work” means bookkeeping work required to bring your books from their state at the Commencement Date to Clean and Current, including transaction coding, bank reconciliations, correction of miscoded entries, and set-up or repair of bank feeds within your accounting software.
2.3 “Clean and Current” means that, based on the records and access you have provided: (a) bank and credit-card accounts within the agreed scope are reconciled up to the end of the most recent complete calendar month; (b) transactions are coded to an appropriate chart of accounts; and (c) your file is in a state from which ongoing monthly bookkeeping and BAS preparation can proceed in the ordinary course.
2.4 “Commencement Date” means the date on which the last of the following has occurred: (a) you have accepted your Services Proposal and engagement letter; (b) your first subscription payment has cleared; and (c) you have provided the access and records described in clause 5.1.
2.5 “Included Hours” means the free Catch-Up Work allowance described in clause 4.
2.6 “Standard Rescue Rate” means our standard rescue bookkeeping rate of $99 per hour (including GST), as published or quoted from time to time.
3. The Turnaround promise
3.1 Subject to these terms, we will bring your books Clean and Current within thirty (30) days of the Commencement Date.
3.2 The Turnaround is a commitment about bookkeeping catch-up. It does not include the preparation or lodgement of overdue BAS, tax returns or financial statements within the 30-day period; those are performed under your Subscription Plan in the ordinary course once your books are Clean and Current, and clause 8 (Completion Timelines) of the Subscription Terms applies to them.
4. The Included Hours — 10 free hours, valued at $990
4.1 The Turnaround includes up to ten (10) hours of Catch-Up Work performed free of charge. This allowance is valued at the Standard Rescue Rate of $99 per hour — a total value of $990 (including GST).
4.2 The Included Hours cover the great majority of typical backlogs. If, after reviewing your file (including in a Books Health Check, where you have completed one), we reasonably estimate that your Catch-Up Work will exceed ten (10) hours, we will tell you before starting and quote the additional hours in advance at the Standard Rescue Rate. We will not charge for Catch-Up Work beyond the Included Hours without your prior written approval.
4.3 If you do not approve additional hours where they are reasonably required, we will complete the Included Hours, and the 30-day commitment in clause 3.1 will not apply to the portion of the backlog that remains.
4.4 The Included Hours: (a) are available once per subscribing entity (per ABN), on initial onboarding only; (b) have no cash or credit value, are not transferable, and cannot be exchanged for other services or applied against subscription fees; (c) expire to the extent unused once your books are Clean and Current, or if your subscription is cancelled before the Catch-Up Work is completed; and (d) are not available to a client who cancels and re-subscribes within twelve (12) months of a previous subscription.
5. Your responsibilities — and when the 30 days pauses
5.1 So that we can start and finish the Catch-Up Work, you must promptly provide: (a) access to your accounting software file (or, where none exists, your bank statements and source records for the catch-up period); (b) bank, credit-card and loan statements for all business accounts in scope; (c) authorities we reasonably require (including ATO and software authorities); and (d) timely answers to queries about uncertain transactions.
5.2 The 30-day period pauses during any period in which we are waiting on information, records, access, approvals or authorities requested from you, and resumes when they are received. Clause 5 (Your Responsibilities) of the Subscription Terms also applies.
5.3 If requested items remain outstanding for more than 30 days, we may close the Catch-Up Work and treat the Included Hours as used to the extent of work performed, after giving you written notice.
6. What the Turnaround does not cover
6.1 The Turnaround and the Included Hours do not cover:
(a) work made necessary by records that are incomplete, missing or unobtainable, or by third parties (including banks, the ATO, software providers or a former accountant or bookkeeper) failing to provide data or access;
(b) forensic or investigative work, audit support, fraud review, or the reconstruction of records where source documents do not exist;
(c) payroll rectification (including award, superannuation or STP corrections), inventory or stock system rebuilds, multi-entity consolidations, cryptocurrency transaction histories, or foreign-currency bookkeeping — which we will scope and quote separately before any work is done;
(d) the correction of errors in previously lodged BAS, returns or financial statements, or the preparation of prior-year financial statements or returns;
(e) software subscription fees payable to Xero, Sole or any other provider; and
(f) periods more than two (2) financial years in arrears, which we will scope and quote separately.
6.2 Where clause 6.1 applies to part of your backlog, the Turnaround continues to apply to the remainder.
7. If we miss the 30 days
7.1 If your books are not Clean and Current within 30 days of the Commencement Date (as extended under clauses 5.2 and 8), and the delay is not caused by a matter in clause 5 or 6, we will: (a) complete the remaining Catch-Up Work at no charge, even where it exceeds the Included Hours; and (b) credit your account with an amount equal to your subscription fee for that calendar month.
7.2 To the maximum extent permitted by law, the remedies in clause 7.1 are your sole and exclusive remedies for a failure to meet the Turnaround, and clauses 14 (Liability) and 15 (Indemnity) of the Subscription Terms apply.
8. Outages and events beyond our control
8.1 The 30-day period is extended by any period during which our systems, or third-party systems we reasonably rely on (including accounting software, bank feeds and ATO systems), suffer an outage or interruption.
8.2 Clause 18 (Force Majeure) of the Subscription Terms applies to the Turnaround.
9. Capacity
9.1 To protect the 30-day commitment for every client, we limit the number of new clients we onboard each month. Where a month is at capacity, we will offer you the next available onboarding date, and the Commencement Date is determined by reference to that onboarding.
10. Australian Consumer Law
10.1 Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Competition and Consumer Act 2010 (Cth) or any other law that cannot lawfully be excluded. The Turnaround is in addition to those rights and remedies.
11. General
11.1 We may amend or withdraw the Turnaround at any time by updating this page. Changes apply prospectively to clients whose Commencement Date falls after the change is published, and clause 19 (Changes to These Terms) of the Subscription Terms applies.
11.2 These terms are governed by the laws of Queensland, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
