5-Day Launch Guarantee

1.1 The 5-Day Launch Guarantee (the “Guarantee”) is offered by Accountants Direct Pty Ltd (ABN 16 155 811 448) (“Accountants Direct”, “we”, “us”, “our”) to clients who purchase the Company Launch Pad setup service (“you”, “your”).

1.2 The Guarantee forms part of, and must be read together with, our Business Subscription Terms published at accountantsdirect.com.au/business-subscription-terms/ (the “Subscription Terms”), your Services Proposal and your engagement letter. If there is any inconsistency, the Subscription Terms and your engagement letter prevail to the extent of the inconsistency.

2.1 “Business Day” means a day other than a Saturday, Sunday or public holiday in Queensland, Australia.

2.2 “Approval” means your written go-ahead to proceed with the Structure recommended at your Strategy Session, including signature of the documents we require and payment of the Launch Pad fee ($199) and the ASIC registration fee.

2.3 “Complete Information” means all information we reasonably require to lodge, including for each officeholder and shareholder: full legal name, residential address, date and place of birth, Director ID (for each director), share allocations, registered office and principal place of business, and answers to any follow-up queries.

2.4 “Registered” means ASIC has issued an ACN for your company.

2.5 “Launch Lodgements” means the applications for ABN, TFN, and (where applicable) GST and PAYG registrations, submitted by us to the ATO/ABR.

2.6 “Start Date” means the latest of: (a) your Approval; (b) our receipt of Complete Information; and (c) clearance of the payments in clause 2.2.

3.1 If your company is not Registered, with the Launch Lodgements submitted, within five (5) Business Days of the Start Date, we will refund (or, at your election, credit) the $197 Launch Pad fee in full.

3.2 Most registrations complete within 1–2 Business Days. The Guarantee is a commitment about our speed of lodgement and follow-through — it is not a promise about how quickly government agencies process applications after lodgement (see clause 4.2).

4.1 The five (5) Business Days are extended by any period during which:

a we are waiting on information, documents, signatures, > clarifications or a Director ID from you or any officeholder or > shareholder;

b ASIC conducts a manual review of, rejects, or requires > substitution of your chosen company name, or the name requires > external consents;

c ASIC, ATO/ABR or our lodgement software systems suffer an > outage, degradation or unavailability; or

d you request changes to the Structure or company details after > Approval.

4.2 The Guarantee does not cover the time taken by the ATO/ABR to process the Launch Lodgements after submission (including manual ABN reviews), or any matter listed in clause 18 (Force Majeure) of the Subscription Terms.

4.3 Our records (practice-management system, lodgement receipts and communication logs) are conclusive evidence of the Start Date, lodgement times and any pauses, absent manifest error.

5.1 Where the Guarantee is triggered and your claim is verified, we will refund or credit the $197 Launch Pad fee within fourteen (14) days. We will still complete the setup in full.

5.2 The ASIC registration fee is a government fee: once an application has been lodged with ASIC it is not refundable by us. Where the Guarantee is triggered before lodgement and you choose not to proceed at all, we will refund the ASIC fee amount we hold on your behalf, unpaid to ASIC.

5.3 To the maximum extent permitted by law, the refund or credit in clause 5.1 is your sole and exclusive remedy for a failure to meet the Guarantee, and clauses 14 (Liability) and 15 (Indemnity) of the Subscription Terms apply.

6.1 To claim, notify us in writing at support@accountantsdirect.com.au within fourteen (14) days of the date the five (5) Business Days (as extended under clause 4) expired.

6.2 We will assess the claim against our records, acting reasonably, and notify you of the outcome within ten (10) Business Days.

7.1 Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Competition and Consumer Act 2010 (Cth) or any other law that cannot lawfully be excluded. The Guarantee is in addition to those rights and remedies.

8.1 We may amend or withdraw the Guarantee at any time by updating this page. Changes apply prospectively to Launch Pads purchased after the change is published, and clause 19 (Changes to These Terms) of the Subscription Terms applies.

8.2 These terms are governed by the laws of Queensland, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
