1. About this Guarantee
1.1 The Done-Right-First-Time Structure Guarantee (the “Guarantee”) is offered by Accountants Direct Pty Ltd (ABN 16 155 811 448) (“Accountants Direct”, “we”, “us”, “our”) to clients who purchase the Company Launch Pad setup service (“you”, “your”).
1.2 The Guarantee forms part of, and must be read together with, our Business Subscription Terms published at accountantsdirect.com.au/business-subscription-terms/ (the “Subscription Terms”), your Services Proposal and your engagement letter. If there is any inconsistency, the Subscription Terms and your engagement letter prevail to the extent of the inconsistency.
2. Definitions
2.1 “Business Day” means a day other than a Saturday, Sunday or public holiday in Queensland, Australia.
2.2 “Strategy Session” means the structure advisory session included in the Launch Pad, together with any questionnaire, checklist or written information request completed in connection with it.
2.3 “Disclosed Circumstances” means the facts, figures, intentions and circumstances you disclosed to us at or before the Strategy Session, as recorded in our file notes, your questionnaire responses and our written confirmation of advice.
2.4 “Structure” means the entity type (company, trust, or other arrangement) and its key settings — including shareholding or beneficiary arrangements, officeholders and registrations — that we recommended and implemented for you under the Launch Pad.
2.5 “Corrective Restructure” means the professional work reasonably required to correct the Structure, which may include establishing or altering entities, share transfers, constitutional amendments and associated ASIC and ATO notifications.
2.6 “Guarantee Period” means the twelve (12) months from the date your company is registered by ASIC (or, where no company is registered, the date we confirm our structure advice in writing).
3. The Guarantee
3.1 If, during the Guarantee Period, the Structure requires correction because our recommendation was not reasonably appropriate for your Disclosed Circumstances, we will perform the Corrective Restructure at no charge for our professional services.
3.2 The test in clause 3.1 is whether a reasonably competent adviser, given the same Disclosed Circumstances at the same time, would not have recommended the Structure we recommended.
4. What the Guarantee does not cover
4.1 The Guarantee does not apply where the need for change arises from:
a. circumstances that changed after the Strategy Session — > including new business partners or investors, new ventures or revenue > streams, changes in income or asset levels, relationship or family > changes, or relocation;
b. changes in law, regulation, ATO or ASIC practice, rulings or > interpretation occurring after our advice was given;
c. information that was incomplete, inaccurate or withheld — the > Guarantee is assessed only against your Disclosed Circumstances;
d. your decision to proceed contrary to our written recommendation, > or your instruction to implement specific settings we advised against;
e. preferences, plans or objectives you did not raise before > implementation;
f. structures or settings established by you or by third parties > (including online registration services), except to the extent we > expressly reviewed and confirmed them in writing; and
g. ordinary commercial choice — a structure that remains > reasonably appropriate is not “wrong” merely because an alternative > would also have worked or has since become preferable.
4.2 The Guarantee covers our professional fees for the Corrective Restructure only. It does not cover government fees and charges (including ASIC fees), stamp duty, or any tax, duty or charge arising from the restructure (including CGT), which remain payable by you. We will identify any such costs, and any available rollovers or concessions, before starting.
5. How to claim
5.1 To claim, notify us in writing at support@accountantsdirect.com.au within the Guarantee Period, describing the correction you believe is required and why.
5.2 We will review the claim against the Strategy Session record, acting reasonably, and respond within ten (10) Business Days. Our file notes, questionnaire responses and written confirmation of advice are conclusive evidence of the Disclosed Circumstances, absent manifest error.
5.3 To the maximum extent permitted by law, the Corrective Restructure is your sole and exclusive remedy under the Guarantee, and clauses 14 (Liability) and 15 (Indemnity) of the Subscription Terms apply. This clause does not limit clause 7 below.
6. General
6.1 We may amend or withdraw the Guarantee at any time by updating this page. Changes apply prospectively to Launch Pads purchased after the change is published, and clause 19 (Changes to These Terms) of the Subscription Terms applies.
6.2 These terms are governed by the laws of Queensland, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.

7. Australian Consumer Law
7.1 Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Competition and Consumer Act 2010 (Cth) or any other law that cannot lawfully be excluded. The Guarantee is in addition to those rights and remedies.
